Ok. What could be worth a try is toggling the following settings in
your Virtualbox VM config:

[ ] Enable ACPI    (under "Motherboard")
[ ] Enable IO APIC (under "Motherbard")
[ ] Enable PAE/NX  (under "Processor")

Start with the "IO APIC" setting.

Adding "noacpi noapic acpi=off nolapic maxcpus=0" as additional
kernel parameters (just add it manually to the kernel cmdline in
GRUB) is worth another try.

If nothing of above helps: could you please provide the output of
"dmesg | tail" when you're in the debug shell of the boot process?
"cat /proc/partitions" would be interesting as well. (No need to
manually type the output, providing a screenshot would be just fine. :))
